1. SERVICE DESCRIPTION & USER CONTROL

1.1 What EZ Greetings Is

EZ Greetings is a personal reminder automation tool that enables individual users to schedule their own greeting messages to their own personal contacts (friends, family, colleagues).

This is a consumer-facing service where YOU, the user, maintain complete control over:

• What messages are sent (all content is created by you)
• Who receives messages (you add and manage your own contact list)
• When messages are sent (you schedule all delivery dates and times)
• Which contacts remain active (you can add, modify, or remove contacts at any time)

1.2 What EZ Greetings Is NOT

IMPORTANT: EZ Greetings is NOT:

• A marketing platform - We do not send promotional or commercial messages
• A third-party messaging service - We do not send messages on behalf of other businesses
• An affiliate marketing tool - We have no affiliate or reseller relationships
• A bulk messaging service - Messages are personal greetings, not mass marketing
• An ISV platform - We directly operate the service for end-user consumers

Each message sent through EZ Greetings is sent only because YOU, the account holder, explicitly scheduled that specific message for that specific recipient on that specific date.

1.3 Personal Use Requirement

By using EZ Greetings, you agree that you will use the Service only for personal, non-commercial purposes to send greetings to people you personally know. You agree NOT to use the Service for:

• Marketing, advertising, or promotional purposes
• Sending messages on behalf of businesses or organizations
• Any commercial or for-profit activities
• Mass messaging or bulk communications
• Sending messages to purchased or rented contact lists

2. ACCEPTANCE OF TERMS

By creating an account, accessing, or using EZ Greetings ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and EZ Greetings LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of Illinois.

3. ACCOUNT REGISTRATION & ELIGIBILITY

3.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update your information as necessary to maintain its accuracy.

4. USER RESPONSIBILITIES & CONTACT CONSENT

4.1 Your Contact List - Your Responsibility

When you add contacts to EZ Greetings, you represent and warrant that:

• You personally know each recipient
• You have a pre-existing personal relationship with each recipient
• Each recipient would reasonably expect to receive personal greetings from you
• You have permission or reasonable grounds to believe the recipient would want to receive your greetings
• The contact information you provide is accurate and current

4.2 Consent Requirements (TCPA & CAN-SPAM Compliance)

You are responsible for ensuring you have appropriate consent to send messages to your contacts:

• SMS/MMS Messages: You must have express consent from recipients to receive text messages from you
• Email Messages: You must have permission to send personal greetings via email
• Personal Relationships: Messages should only be sent to friends, family, colleagues, or others with whom you have a genuine personal relationship

4.3 Prohibited Contact Lists

You may NOT use EZ Greetings to send messages to:

• Purchased, rented, or third-party contact lists
• Marketing lists or business prospects
• People you do not personally know
• Any contacts for commercial or promotional purposes

4.4 Message Content Responsibility

You are solely responsible for the content of all messages you create and schedule. You agree that your messages will:

• Be personal greetings appropriate for the occasion
• Not contain promotional, marketing, or commercial content
• Not contain illegal, offensive, harassing, or inappropriate content
• Not violate any laws, regulations, or third-party rights

5. SUBSCRIPTION & PAYMENT

5.1 Subscription Plans

EZ Greetings offers monthly subscription plans with different features and limits. Current plans and pricing are displayed on our website.

5.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed through Stripe, our secure payment processor
• You authorize us to charge your payment method for all fees incurred
• Prices are subject to change with 30 days' notice

5.3 Automatic Renewal

Your subscription automatically renews each month unless you cancel before the renewal date. You may cancel at any time through your account settings.

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your access continues through the end of your current billing period
• You will not be charged for subsequent periods
• No partial refunds are provided for unused time in the current period

5.5 Refund Policy

All sales are final. We do not offer refunds except in cases of billing errors.

If you believe you were charged in error, contact us at support@ezgreetings.net within 30 days of the charge.

6. SERVICE USAGE & LIMITS

6.1 Fair Use

You agree to use the Service in accordance with your subscription plan limits. We reserve the right to enforce usage limits and may suspend or terminate accounts that exceed reasonable usage.

6.2 Message Delivery

We make reasonable efforts to deliver messages on scheduled dates, but we do not guarantee:

• 100% delivery success rate (carrier issues may occur)
• Exact delivery times (messages sent within scheduled day)
• Service uptime or availability

6.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

7. SMS/MMS & EMAIL TERMS

7.1 Message Delivery

When you schedule a message through EZ Greetings:

• Messages are sent from our system on your behalf
• SMS/MMS messages are sent through our telecommunications provider (Twilio)
• Email messages are sent through our email service provider
• Message content is exactly what you created and scheduled

7.2 Opt-Out Compliance

All SMS messages include standard opt-out instructions (reply STOP to unsubscribe). When a recipient opts out:

• We immediately stop sending messages to that number
• The contact is marked as opted-out in your account
• You are notified of the opt-out
• You cannot send messages to opted-out numbers

7.3 Message Fees

Standard message and data rates may apply for recipients. We are not responsible for any charges recipients incur from their carriers.

8. PROHIBITED ACTIVITIES

You agree NOT to:

• Use the Service for any illegal purpose
• Send spam, unsolicited messages, or marketing communications
• Harass, threaten, or abuse others
• Violate any laws including TCPA, CAN-SPAM, or anti-spam regulations
• Attempt to bypass usage limits or security measures
• Interfere with or disrupt the Service
• Use automated systems to access the Service (except as provided)
• Resell or redistribute the Service
• Share your account with others

9. INTELLECTUAL PROPERTY

9.1 Our Property

The Service, including all content, features, and functionality, is owned by EZ Greetings LLC and protected by copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain ownership of all messages and content you create. By using the Service, you grant us a limited license to store and transmit your content solely for the purpose of providing the Service.

9.3 Template Content

Message templates and graphics provided by EZ Greetings may be used only within the Service for creating your personal greetings.

10. DISCLAIMERS & LIMITATIONS OF LIABILITY

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantees

We do not guarantee that:

• The Service will be uninterrupted, timely, secure, or error-free
• All messages will be delivered successfully
• The Service will meet your specific requirements
• Any defects will be corrected

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZ GREETINGS LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Any damages arising from your use or inability to use the Service
• Any damages exceeding the amount you paid us in the 12 months preceding the claim

10.4 Third-Party Services

We rely on third-party telecommunications and email providers. We are not liable for:

• Failures or delays caused by third-party providers
• Carrier filtering or blocking of messages
• Email deliverability issues

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EZ Greetings LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Your violation of any third-party rights
• Messages you send through the Service

12. TERMINATION

12.1 Your Right to Terminate

You may cancel your account at any time through your account settings or by contacting us.

12.2 Our Right to Terminate

We may suspend or terminate your account at any time if:

• You violate these Terms
• You engage in prohibited activities
• We receive complaints about your use of the Service
• We determine your use poses a risk to us or others
• Required by law or telecommunications providers

12.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Scheduled messages will not be sent
• Your data may be deleted (see Privacy Policy)
• No refunds will be provided for partial months

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@ezgreetings.net to attempt to resolve the issue informally.

13.2 Binding Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative action.

13.4 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law provisions.

14. GENERAL PROVISIONS

14.1 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

14.4 Assignment

You may not assign or transfer these Terms or your account. We may assign these Terms without restriction.

14.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EZ Greetings LLC regarding the Service.
